クレジットデフォルトスワップ(CDS)の決済方法-リーマン・ブラザーズの例

リーマン・ブラザーズを参照するCDSの回収率(Recovery Rate)が確定したようです。8.625(=100-91.375)と、直近のマーケット12~13よりは少し低めだったようですが、それほど大きなずれはなかったようです(数字のソースは以下で引用しているニュース記事です)。
CDSの仕組みについては、簡潔にクレジットデフォルトスワップ(CDS)とは?というエントリに書きましたが、質問を頂いたこともあり、取引残高および決済方法についても、もう少し触れておきたいと思います。
まずCDSの取引残高ですが、参照債務(参照組織の債券やローンなど)の実際の残高とは直接的には関係はありません。CDS契約は、その取引当事者が相対で取引をしているだけですので、理論的にはいくらでも残高が積みあがることになります。以下、具体例で考えてみたいと思います。
Aさん(Buyer)とBさん(Seller)の間で、リーマンブラザーズを参照する額面が10億円のCDS契約を結んだとしましょう。さらに、同日、Bさん(Buyer)とCさん(Seller)が同じ満期日を持つ10億円のCDS契約を結んだとします。
この場合、Bさんは売り手と買い手の両方の立場で同じ参照組織の同じ満期日を持つCDS契約を持っていることになるので、ネットの契約残高はゼロとなります(カウンターパーティーリスクはあるものの、マーケットリスクは取っていない状態です)。実質的にはAさんとCさんの間で10億円のCDS契約が残っている状態になるわけですが、統計的にはAさんとBさんの契約、BさんとCさんの契約がそれぞれ別契約としてカウントされるため、CDSの契約残高としては20億円となります。
つまり、CDSの契約残高は、売り買いのポジションをすべてネッティング(相殺)するとかなり小さくなると思われます。
次に、今回リーマンのCDSに関する入札が行われ、回収率が8.625になった、というニュースについてです。まずはニュースをご覧ください。

 [ニューヨーク 9日 ロイター] 破綻したリーマン・ブラザーズ(LEHMQ.PK: 株価, 企業情報, レポート)のクレジット・デフォルト・スワップ(CDS)の売り手となっていた金融機関やヘッジファンドは、10日に入札結果が明らかになりCDS価値が判明すると、最大で90%の損失を被る可能性がある。
 一部アナリストは、入札でCDSの売り手が買い手を上回った場合が、一段の損失となる可能性もあると予想している。
 マーケットアクセスによると、リーマン債の多くは、額面1ドルあたり0.12―0.13ドル近辺で取引されており、CDSもこの水準までのリカバリーとなることを示している。

リーマン対象金融派生商品「清算価値は8・625%」
 【ニューヨーク=池松洋】経営破綻(はたん)した米証券大手リーマン・ブラザーズを対象にした、金融派生商品(デリバティブ)のクレジット・デフォルト・スワップ(CDS)の清算価値が10日、元本の8・625%に決まった。
 金融派生商品を扱う事業者の業界団体「国際スワップ・デリバティブス協会」(ISDA)が発表したもので、破綻後に暴落したリーマンの社債の価値などに連動する形で決まったという。
 市場推計ではリーマン関連のCDSの契約残高(想定元本)は約4000億ドル(40兆円)。この9割以上が損失となり、リーマンの社債保有者などからCDSを引き受けた金融機関などがかぶることになる。ただ、契約時の手数料などで損失の一部はカバーされる可能性がある。
 CDSは、企業に融資をした金融機関や、企業が発行した社債を購入した投資家が、焦げ付いた場合の損失を肩代わりしてもらうために、他の金融機関などと行う金融取引だ。

NEW YORK, Oct 10 (Reuters) – Banks, hedge funds and other sellers of protection on Lehman Brothers LEH.N (LEHMQ.PK: Quote, Profile, Research) are facing losses of 91.375 percent of the insurance they sold, after an auction was held on Friday to determine the value of the credit default swaps.
The settlement of Lehman’s credit default swaps is one of the largest in the $55 trillion market to date, with around $400 billion in contract volumes estimated on Lehman’s debt.
Based on those estimates, the amount of insurance paid out would equal $365.5 billion, CreditSights analyst Brian Yelvington said in a report. However, “net positions are likely to be much lower,” he said.
The auction was widely watched as some investors had feared that large losses by protection sellers may be concentrated at one institution, such as a bank.
Derivatives practitioners, however, argue this is unlikely as protection sellers will have already written down the loss in the market value of the contracts, and so extra losses should be negligible.
The auction, “in and of itself, should not be the downfall of an entity since (Lehman’s) bonds have been trading in the low teens for weeks and the difference in the auction and yesterday’s price is only $4.375,” Yelvington said.
Large counterparties, such as dealers, would also have a number of offsetting trades where they may have bought and sold protection, and much of this will be canceled out.
Bob Pickel, chief executive at the International Swaps and Derivatives Association, a trade group, said payouts after netting these exposures would likely be nearer 2 percent of the volumes outstanding. This means $8 billion in protection would need to be paid out.
LOWER RECOVERY
There were more sellers than buyers of the debt in the auction, which led the final recovery of 8.625 percent to below the 12-to-13-cent area some had expected based on the trading level of Lehman’s bonds on Thursday.
This is likely due to more protection sellers choosing to settle the contracts in the auction, compared with protection buyers who settled by physically delivering the defaulted debt to the seller.
When a borrower defaults on their debt, sellers of protection pay buyers the full sum insured, and in return receive the defaulted debt or a cash payment, which is determined by the auction.
In spite of the imbalance “the auction went very smoothly, with the slightly lower-than-expected final price reflecting a bias towards sellers,” said Simon Moore, credit strategist at credit Suisse in New York.
“You don’t know who’s going to cash settle or physically settle until the auction and even amongst the people who physically settle you don’t know what the ratio will be,” he added. (Reporting by Karen Brettell; Editing by Jonathan Oatis)

上で説明したように、CDSの契約残高は、参照債務(Reference Obligation(s))(および引渡可能債務(Deliverable Obligation))の残高を大きく上回ることがあります。
ここでCDSの決済方法を簡単に説明します。CDSの決済方法(つまり、クレジットイベントが発生した場合の保険金の支払いのことです)には、大きく分けると

  1. 現物決済(Physical Settlement)
  2. 現金決済(Cash Settlement)

の2パターンに分けられます。さらに、現金決済は次の2パターンに分けられます。

  • 市場価格参照型
  • 定額型

この2パターンで多少の違いはあるものの、現金決済の場合は現金のやりとりだけで済むことになります。
一方、やっかいなのが現物決済の方です。現物決済というのは、現物つまり引渡可能債務(Deliverable Obligation)を受け渡す必要が発生します。ところが、プロテクション(CDS)の売り手は必ずしも引渡可能債務の保有者(または債権者)であるとは限りませんので、引き渡すためにその債務を市場から調達してくる必要があります。歴史的には、この調達需要により、引渡可能債務の市場価格が急騰したりすることもあったようです(例えば、Delphiの例)。
そこで、このような事態を避けるために、現在主流となりつつあるのがプロトコル方式と呼ばれるもので、既存のCDS契約で現物決済と定めていても、入札(Auction)によって最終価格(または回収率)を決定し、現金決済を行いましょう、というものです(ただし、現物決済希望者は現物決済が可能)。
そして、上で引用したニュースは、リーマンを参照するCDSに関して、まさにこの入札が行われて、最終価格(または回収率)が決まりました、といった内容を伝えるニュースなのです。
クレジットデフォルトスワップ(CDS)とは?で例に挙げたものを、参照組織をリーマンブラザーズホールディングスに変更し、かつ回収率を反映させたような契約内容にすると以下のようになります(契約期間も変更しています)。

2006年9月20日から2011年9月20日の間(5年間)に、リーマンブラザーズホールディングスが倒産したら、SさんはBさんに10億円(想定元本)×(1-回収率)を払うこととする。ただし、BさんはSさんに毎年保険料として、400万円の支払いをするものとする。また、倒産が起きた場合には、その後の保険料の支払いは発生しないものとする。

実際のCDS契約はまさにこのようなものです。上のニュースによると、回収率は8.625ですので、SさんはBさんに
10億円×(1-0.08625)=9.1375億円
つまり、9億1375万円の支払いをしてCDS契約が終了となるわけです。一方、この決済の時点まで、SさんはBさんから毎年400万円、この場合は契約から約2年経過していますから合計で800万円の保険料を受け取っていることになります。
Bさんから見ると、800万円の保険料を支払うことによって、約9億円の支払いを受けたことになります。これがCDS契約の実際です。
今回の内容は専門用語も少し含まれていて、わかりにくい内容となってしまったかもしれませんが、すべてをきちんと理解するのはかなり難しいと思いますので気にされる必要はありません。ぼくもまだわかっていませんし、、、
少しでも参考になればと思います。

SAN FRANCISCO (MarketWatch) — An auction to work out the value of Lehman Brothers bonds for the huge credit derivatives market went smoothly Friday, according to the International Swaps and Derivatives Association, which helps oversee the market.
The auction set the value of the debt of the bankrupt brokerage firm at 8.625 cents on the dollar, said Markit and Creditex, the administrators of the auction.
Earlier action in the auction suggested Lehman (LEHMQ 0.10, 0.00, -2.0%) bonds might be worth almost 10 cents on the dollar. The final result means sellers of protection in the credit-default-swap market may have to pay out more than expected to settle the contracts.
Credit-default swaps are a common type of derivative contract that pay out in the event of default. The market has grown quickly, with the notional amount of contracts outstanding surging past $50 trillion in recent years.
The collapse of Lehman, the largest bankruptcy in U.S. history, along with the failures of Fannie Mae, Freddie Mac and Washington Mutual, have sparked concern that the CDS market could crack under the weight of so many contracts settling in such a short time.
There are often more CDS contracts than actual bonds to which they’re linked. That means when a big default happens, an auction is held to work out the value at which traders can settle the contracts in cash.
Similar auctions earlier this week to set the price of Fannie and Freddie debt were “messy,” undermining confidence in the process, according to CreditSights, an independent fixed-income research firm.
However, the Lehman auction Friday went “smoothly” and “efficiently,” according to Robert Pickel, chief executive of the ISDA, which represents major dealers in the CDS market.
Traders and other CDS market participants marked the fair value of their exposures and posted more collateral as Lehman’s troubles increased, Pickel explained. This discipline means that sellers of protection should not have trouble paying to settle the contracts related to Lehman, he added.
The result of the Lehman auction means sellers of CDS protection on the firm will need to pay 91.375 cents on the dollar to their counterparties.
Roughly $400 billion will be paid out on Lehman CDS, but, once all positive and negative positions are “netted” out, about 2% of that money will actually change hands, Pickel estimated. Payments are due on Oct. 21 to settle Lehman CDS in cash, he said.

ISDA represents major dealers in over-the-counter derivatives markets. Because CDS aren’t traded on an exchange and prices and positions aren’t published, the market is lucrative for dealers.
But the credit crunch has increased calls for more regulation of CDS, something that may not be in the interests of ISDA members.
On Friday, the ISDA’s Pickel said that despite “significant criticism,” recently, the CDS market has continued to function and remain liquid, giving investors the chance to express their views, while other markets have tightened up.
But one problem with the CDS auction process, and the market in general, is that it’s often unclear how many contracts are linked to the debt of specific companies because there’s no central repository for such information, CreditSights explained in a note to clients earlier this week.
This lack of information sometimes means that auctions, like the ones for Fannie and Freddie this week, can produce surprising results, the firm added.
Such problems will add to calls for changes to the CDS market. CreditSights reckons a central clearinghouse for trades would reduce counterparty risk and provide transparency.
An official exchange for CDS trades would cut counterparty risk even more because it would take decisions on required margin levels away from the sell side brokerage firms that currently operate in the over-the-counter market, CreditSights said.
Indeed, the New York Federal Reserve met this week with CDS market participants to discuss possible changes.
There will probably always be over-the-counter trading in CDS, like there is in energy markets, CreditSights said.
“If there was ever a time for an exchange product to emerge, however, this is certainly the time,” the firm added.

    お忙しいところこのような詳しい説明をしていただき大変恐縮です。
    理解できました。何十にも転売されているのでそれが残高として表に出てきているという事なのですね。今回のリーマンの件に関しては、今日のブルンバーグなのどのコメントを見ても最終的な原証券と保険料の損失総額が7000億~8000億ということですから、これなら納得です。どう考えても単純に40兆円の約90%が損失になるというのは理解が出来なかったものですから。
    CDSの残高が6000兆円あるからそれが2割毀損したとして・・という議論が巷でされてしまっているのでそれが余計に恐怖を煽っているような気がしてなりません。実際証券会社の情報部長という立場の人ですら、そんな認識をしています。それがデリバティブだから・・・という訳の判らない話まで聞こえてきますので大変参考になりました。やはり現場の方に伺うのが一番でした(笑
    丁寧なお答えいただき本当にありがとうございます。

    新聞やインターネットの記事なんかを読んでいても、なんか誤解しているんじゃないかなぁ、と感じることはよくあります。
    やはりOTCデリバティブの仕組み(今回の場合はクレジットデリバティブ)をきちんと理解されている方は、いくら証券会社の方であっても少ないのかもしれません。

    浅学な身の上ゆえに、初歩的な質問があるのです。
    1、「回収率」という語感と、(1-回収率)という式の意味がどうも合わないように感じるのですが、コノ言葉はどのように生じたのでしょう?
    2、オークションでの、売り手と買い手は誰になるのでしょう?
    かなり初歩的なの質問なのですが、ご考慮の程、よろしくお願いいたします。
